AI Technology Statement

VibeValley Records ("VibeValley," "we," "us," or "our") acknowledges the transformative potential of artificial intelligence (AI) and machine learning (ML) technologies in music creation, production, and distribution. This statement establishes our position regarding the use of AI technologies in connection with content owned, controlled, or distributed by VibeValley Records.

This statement applies to all sound recordings, musical compositions, lyrics, audiovisual works, metadata, artwork, graphic materials, and other creative content in which VibeValley Records holds ownership interests or control rights (collectively, "Protected Content").

2.1 Distribution Eligibility

VibeValley Records accepts for distribution musical works created in whole or in part through AI or ML technologies, subject to the requirements set forth herein.

2.2 Rights Verification Requirements

Any party submitting AI-generated content for distribution through VibeValley Records must:

• Possess all necessary rights, licenses, and authorizations required to commercially exploit such content;
• Have obtained appropriate commercial-use licenses from any third-party AI platform, service, or technology utilized in the creation of such content;
• Ensure compliance with all applicable terms of service, end-user license agreements, and contractual obligations related to the AI technologies employed;
• Warrant that no conflicting rights exist that would impair VibeValley Records' ability to exercise its distribution, licensing, or exploitation rights;
• Provide full disclosure of any limitations, restrictions, or third-party claims affecting the submitted content.

2.3 Representations and Warranties

By submitting content to VibeValley Records, the submitting party represents and warrants that they possess full legal authority, the submission does not violate any third-party agreements, and they will indemnify and hold harmless VibeValley Records from any claims arising from rights conflicts.

3.1 Prohibited Uses Without Authorization

All third parties are expressly prohibited from engaging in the following activities without obtaining prior written authorization from VibeValley Records:

• Using Protected Content for purposes of training, developing, fine-tuning, testing, or improving AI or ML models;
• Scraping, crawling, mining, ripping, extracting, or ingesting Protected Content for datasets, training corpora, or knowledge bases;
• Creating embeddings, vector representations, or other transformed versions of Protected Content for use in AI systems;
• Utilizing the name, image, likeness, voice, or other identifying characteristics of artists represented by VibeValley Records in connection with AI technologies;
• Reverse engineering Protected Content to extract musical patterns or stylistic elements for AI purposes.

VibeValley Records protects all rights it lawfully owns or controls, including residual rights. We expressly reserve all rights not explicitly granted through written license agreements.

4.1 Pre-Existing Obligations

VibeValley Records acknowledges third-party AI platform claims but distribution through VibeValley does not constitute a grant of additional rights to such platforms. Third parties seeking Protected Content for training must obtain express written authorization directly from VibeValley Records.

4.2 Artist Obligations

Artists utilizing AI platforms must review and understand all terms of service, ensure submissions do not violate platform terms, maintain documentation, and notify VibeValley of changes to rights ownership.

VibeValley Records will consider requests to license Protected Content for use in connection with AI and ML applications subject to formal written licensing agreements, informed consent from all rights holders, fair compensation, and appropriate technical safeguards.

All licensing requests must be submitted in writing including a detailed description of intended use, technical specifications, and proposed compensation structure.

VibeValley Records employs commercially reasonable measures to detect unauthorized use. Upon discovery, we reserve the right to demand immediate cessation, pursue all available legal remedies (including injunctive relief and statutory damages), report violations to authorities, and publicize enforcement actions.
